<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">Order Bookings² for the year ended December 31, 2012 were a record $49.5 million and outpaced Shipments in the year of $35.9 million. &nbsp;This resulted in a healthy Backlog of $14.6 million at the end of the 2012 fiscal year, largely as a result of larger orders with associated longer delivery timeframes.&nbsp; Bookings in 2012 were primarily driven from strong and growing sales to the energy sector, which represented approximately 45% of total Bookings, as well as continued strength in the telecom and public safety sectors.</p>
<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">BWI Revenue for the three months ended December 31, 2012 was $10.4 million, the strongest BWI quarterly revenue for fiscal 2012.&nbsp;&nbsp; BWI Revenue was strengthened by several large contracts in oil and gas and telecom. BWI Revenue for the three months ended December 31, 2012 was down 8% from $11.3 million for the same period last year, primarily as a result of final acceptance on a large oil and gas project received in the fourth quarter of fiscal 2011 for work undertaken throughout 2011. Overall for the 2012 year, BWI Revenue was $30.0 million, down marginally from the $31.0 million reported for the 2011 year.</p>
<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">“I am very happy with our 2012 results.&nbsp; Strong product performance, high customer satisfaction and a growing reputation helped us increase our sales momentum, our average contract size is larger, and our top-tier customers are expanding their networks,” said Eric Melka, Redline’s CEO. “These complex networks are providing significant long term opportunity for Redline as they roll out over time and I am very excited about the future.”</p>
<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">Included in the definition of total Recognized Revenue is amortized deferred revenue from prior RedMAX™ sales.&nbsp; As the timeframe associated with the recognition of amortized deferred revenue from prior RedMAX sales ended June 30, 2012, the lower amount of amortized revenue in 2012 lowered the year-over-year comparative performance of total Recognized Revenue.&nbsp; &nbsp;Hence for the 2012 year, total Recognized Revenue was $49.0 million, a decrease from $58.0 million reported in 2011 which included $18.7 million of amortized deferred revenue, versus $9.0 million of amortized deferred revenue included in 2012. Similarly, total Recognized Revenue for the three months ended December 31, 2012 was $11.0 million, down $7.2 million from $18.2 million for the same period last year, which included $4.7 million of amortized deferred revenue.</p>
<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">Gross margin on core (BWI) product sales during the 2012 fourth quarter and for the 2012 year was 63%. Blended gross margin for the 2012 fourth quarter was 61%, an improvement of nine percentage points compared to blended gross margin of 52% reported for the fourth quarter of 2011. The increase was the result of a higher relative contribution of BWI sales in the comparative sales mix.&nbsp; For the year, blended gross margin was 56% compared to a blended gross margin of 58% for the year ended December 31, 2011.&nbsp; The small decrease is primarily a result of a higher relative mix of lower margin “other” products required to deliver complete solutions in 2012.</p>
<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">The Company’s ongoing commitment to manage operating costs and improve operating efficiencies resulted in a decrease in overall operating expenses of 3% to $6.9 million for the three months ended December 31, 2012 compared to $7.1 million reported for the same period last year.&nbsp; Overall operating expenses for the 2012 year were $25.3 million, 9% lower than the $27.8 million reported for the same period last year, largely the result of efficiencies from the implementation of new information technology, which allowed the Company to continue to reduce overall staffing levels.</p>
<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">Adjusted EBITDA for the three months ended December 31, 2012 was $0.3 million, a decrease of $2.6 million over the $2.9 million for the corresponding period in 2011.&nbsp; Adjusted EBITDA for the year ended December 31, 2012 was $3.8 million, a decrease of $4.0 million compared to $7.8 million for the corresponding period in 2011. The decrease is a direct result of the decrease in revenue as a result of the completion of the amortization period of all RedMAX Amortized Deferred Revenue at the end of June 30, 2012.</p>
<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">A non-cash loss of $6.4 million in the fourth quarter of 2012 relating to the fair market value adjustment on the Debenture resulted in a Net Loss for the period of $5.6 million, or ($0.58) per share as compared to a profit of $1.1 million, or $0.20 per share in the fourth quarter of 2011. For the full year, Redline reported a Net Loss of $9.5 million, or ($1.00) per share, as compared to a Net Profit of $4.1 million, $0.76 per share in 2011. The difference is attributed to a $12.3 million non-cash expense in 2012 relating to the fair market value adjustment on the Debenture and the effects of substantial deferred amortized revenue present in 2011 and not equally present for 2012. Excluding the non-cash expense relating to the fair market adjustment on the Debenture, net income for the 2012 year was $2.8 million or $0.29 per share, and for the three months ended December 31, 2012 was $0.9 million or $0.09 per share.</p>
<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">During 2012, the Company received approximately Cdn. $10.5 million in consideration from the exercise of warrants associated with the Debenture. Subsequent to December 31, 2012 the Company received an additional approximately Cdn. $2.9 million from the exercise of additional warrants, also associated with the Debenture. The Company also obtained a demand operating facility of Cdn. $10.0 million with HSBC Bank Canada (“HSBC”), providing additional working capital.</p>
<p style="margin: 0px 0px 15px; padding: 0px; outline: none 0px; box-sizing: border-box; border: 0px none; line-height: 1.4em; font-size: 13px;">“Redline’s balance sheet has been greatly strengthened this year providing working capital for our anticipated growth,” added Melka.&nbsp; “The conversion of almost all of the outstanding Debenture and associated warrants has added to our cash and has also significantly reduced the non-cash charges, which have obscured otherwise positive net income for the second year in a row.”</p>

(TSX: RDL), a leading provider of broadband wireless solutions for industrial and telecom applications, today announced that their entire family of RDL-3000 wireless broadband systems now operates in the 3300-3800 MHz licensed band (known as 3.5 GHz), one of the licensed spectrum profiles used by telecom operators.</p>
<p>Redline counts more than 200 telecom operators among their customers. Like many telecom providers, Redline’s customers have been migrating away from the WiMAX standard to take advantage of the more powerful LTE standard for delivering mobile voice and data services, leaving behind expensive and now underutilized 3.5 GHz spectrum. Like LTE, Redline’s RDL-3000 system offers higher speeds, lower latency and greater capacity than WiMAX, but unlike LTE it operates in the 3.5 GHz licensed band. <p>Redline is also providing an update on the status of the exercise of Warrants associated with the Debenture financing announced June 2011 (the “Debenture”). &nbsp;Since the Company’s last update on January 8, 2013, it has received an additional $1.4 million in proceeds from the exercise of Warrants</p>
<p>In summary, the total proceeds from the Warrant exercise to date are $13.4 million, comprised of $10.4 million from the exercise of 100% of the Second Warrants which expired Jan 28, 2013 and $3.0 million from the exercise of more than half of the First Warrants, well in advance of their expiry date of June 2014.</p>
<p>The $8.3 million Debenture which bears interest at a rate of 5% per annum and expires on June 10, 2016, was convertible at any time 90 days following the date of issuance at the option of the holder. As of January 28, 2013, $7.8 million of the Debenture has been voluntarily converted to shares and the Company received notice that another approximately $0.2 million will voluntarily convert on January 31, 2013, at which time approximately $8.0 million of the $8.3 million Debenture will be converted to shares.</p>
<p>As of January 28, 2013, 2,255,436 shares have been issued on the exercise of Second Warrants for total proceeds of $10.4 million, leaving no Second Warrants to be exercised. Also as of January 28, 2013, 1,311,141 shares have been issued on the early exercise of First Warrants for total proceeds of $3.0 million, leaving 944,295 First Warrants to be exercised. The Warrants and Debenture have previously been reported in the Company’s financial statements and management discussion and analysis and as a result, the total potential diluted common shares outstanding of 16,489,932 have not changed as a result of this Warrant exercise.</p>
<p>“We`re very pleased that so many of our Debenture holders have converted their Debentures and exercised their associated Warrants,” said Eric Melka, Redline CEO. “The early conversion of the majority of the Debenture amount into common shares has strengthened our balance sheet and the exercise of the Warrants has increased our cash position.”</p>

(TSX: RDL – “Redline” or the “Company”), a leading provider of  specialized broadband wireless solutions, announced today that it has now received  an aggregate of approximately $11.96 million in consideration from the exercise  of warrants issued as part of the Company’s private placement <a href="http://www.redlinemilitary.com/en/about/news/archive/redline-news-2011/389-redline-communications-group-inc-announces-proposed-private-placement-of-8300000-cdn-principal-amount-of-secured-convertible-debentures">announced  in April 2011</a>. This amount includes the amount received in the announcement  on November 12, 2012, and the aggregate number of shares issued as a result of  all warrants exercised (including those <a href="http://www.redlinemilitary.com/en/about/news/archive/redline-news-2012/571-redline-communications-announces-warrant-exercise">announced  on November 12, 2012</a>) is 3,241,204 common shares of the Company.</p>
<p>"Securing $12M of additional cash will allow us to accelerate  our already impressive growth in the energy market, especially for larger system  sales,” said Eric Melka, Redline CEO.</p>
<p>These warrants represent some of the “First Warrants” and “Second  Warrants” issued as part of the Company’s private placement announced in April  2011. The exercise price was $2.30 per share in the case of the First Warrants  and $4.60 per share in the case of the Second Warrants. There are 325,373  Second Warrants still to be exercised. These Second Warrants represent total  expected proceeds of $1,496,713 and they must be exercised by January 28, 2013  or they will expire on that date. While&nbsp;the Company has no reason to  believe that these above referenced warrants will not be exercised, until  Redline receives the exercise forms and associated payments, there can be no  assurance that they will. The company will provide additional information in  due course. There are also 937,500 First Warrants representing  total expected proceeds of $2,156,250 still  outstanding. The expiry date on these First Warrants is June 10, 2014.</p>
<p>The warrants have previously been reported in the Company’s  financial statements and management discussion and analysis and as a result,  the total potential diluted common shares outstanding have not changed as a  result of this warrant exercise.</p>

<p><strong>Highlights for the three months ended September 30,  2012 (Q3 2012)</strong></p>
<ul type="disc">
<li>Sales momentum       within the Energy and Telecom sectors resulted in significant quarterly order       Bookings totaling $15.0 million, up 24% over Q2 2012. Bookings included orders       for two multi-million dollar projects - an oil and gas project in the       Middle East and a telecom service provider project in Pakistan. </li>
<li>The Company’s success       in securing larger orders with delivery timeframes that often span many       months has resulted in an increased order Backlog of $16.1 million, up 108%       from $7.8 million in Q2 2012.</li>
<li>Third quarter 2012       revenue from BWI product increased 8% over the same period last year to       $7.1 million.</li>
<li>The Company continues       to manage operating expenses tightly, reporting a reduction of 18% to $6.0       million in the quarter as compared to the same period in 2011. </li>
<li>Subsequent to the       quarter end, in October 2012 Redline finalized a Cdn.       $10.0 million credit facility with HSBC Bank Canada and amended their loan       agreement with the Ontario Ministry of Economic Development and Innovation.</li>
<li>Subsequent to the quarter end, on November 12, 2012  Redline announced that they had received confirmation from several  warrant holders that they intend to exercise some  of the warrants associated with the Debenture financing completed in June 2011.   As a result the Company could receive up  to Cdn. $13.67 million before the end of November  2012. Of the possible total, Cdn. $1.3 million has  already been received.³</li>

<p>"The combination of a new  credit facility with HSBC and the funds from the anticipated exercise of warrants  will give Redline significant flexibility, allowing us to support increased  growth without diluting our shareholders," said Eric Melka, Redline CEO. <p><strong>Q3 Operating Highlights</strong></p>
<ul type="disc">
<li>In August 2012,       Redline announced the availability of the ruggedized nomadic RAS system,       the first wireless broadband networking system to automatically locate,       steer toward and connect to a network base station. Roving RAS-equipped       rigs, vehicles and other equipment will enjoy automatic, continuous and       reliable wireless connectivity even as they move from place to place       across large distances.</li>
<li>In September 2012,       Redline received a contract representing approximately 10% of Redline’s       annual revenue for 2012 with an existing American oil and gas customer for       a high-capacity wireless network for communications between wells, other       assets, and drilling rigs in the oilfield, and their centralized control       offices in their new Oman location. The Company has been selected to be       the prime contractor on this project, and, in addition to providing       Redline BWI product, will be providing significant professional services.</li>
<li>Also in September       2012, Redline received a large order for BWI product from an existing       service provider customer in Pakistan. The customer will migrate from Redline’s       WiMAX products to Redline’s BWI products, using them to deliver business       access services to their more demanding customers. This solution also       allows them to continue using their WiMAX spectrum with Redline’s more       powerful BWI products.</li>
<li>Redline continued       to develop relationships with other industry leaders, joining Honeywell’s       PKS Advantage™ program to demonstrate that the companies together can       deliver complete, integrated M2M solutions comprised of their combined       solutions for the oil and gas industry.</li>
</ul>
<p><strong><br /> Q3 Financial Review</strong><br /> Highest Bookings to date of $15.05 million  were recorded for Q3 2012 were up 24.1% over Q2 2012. Bookings were driven primarily  from strong sales to the energy sector.   Management estimates, based on  the amount of direct business and on their knowledge of their Channel Partners’  business, that approximately 60% of Bookings in the quarter were to customers  in the Energy sector. The Company continues to phase out their RedMAX product  line, which represented only 11% of total product Bookings for Q3 2012.</p>
<p>Backlog grew quarter over quarter by 108%  to $16.1 million at the end of Q3 2012 as compared to $7.75 million at the end  of Q2 2012, with the growth primarily due to two significant orders received in  the quarter, the larger of which (in oil and gas) is expected to be delivered  over an eighteen month period, and the other (in telecom) by the end of  December 2012.</p>
<p>Management estimates, based on the amount  of direct business and on their knowledge of their Channel Partners’ business,  approximately 40% of Shipments in the quarter were to customers in the Energy  sector. Overall shipments decreased by 35.8% to $6.49 million for Q3 2012 as  compared to $10.11 million for Q2 2012, with the decrease due to seasonality, high  temperatures and holidays in both the Middle East and the Americas delaying the  start of deployments.</p>
<p>"I  am very pleased with the continued growth in Bookings, demonstrating the ongoing  demand for Redline solutions worldwide," said Eric Melka, President and CEO of  Redline Communications. "Our success in closing larger opportunities has  significantly increased our backlog, providing improved visibility into future revenue."<br /> BWI revenue was $7.05 million, up 7.8% from $6.54  million for the same period last year. Total Revenue for Q3 2012 was $8.15  million, down $5.54 million from $13.69 million for the same period last year. The  completion of the RedMAX Amortized Deferred Revenue  period at June 30, 2012 makes year over year comparisons difficult, but total RedMAX Amortized Deferred revenue for Q3 2011 was $7.15  million, and $0 for Q3 2012, accounting for the decrease in total revenue.</p>
<p>Overall gross margin for Q3 2012 was 56% compared to  gross margins of 61% for Q3 2011.  The  decrease was a result of product mix. Margins on core BWI product remain high  at 57%.</p>
<p>The Company’s commitment to  managing operating costs and improving operating efficiencies has resulted in a  decrease in overall operating expenses of 17.9% to $5.99 million for Q3 2012  compared to $7.29 million reported for the same period last year.  Cost reductions were realized in all  functional areas of the business.<br /> Adjusted EBITDA for the three months ended September 30, 2012  was ($1.05) million, a decrease of $2.54 million over $1.49 million for the  corresponding period in 2011.  Lower  operating costs in Q3 2012 did not fully offset lower overall revenues  resulting from the completion of the amortization period of RedMAX  Amortized Deferred Revenue.</p>
<p>The Company reported a non-cash charge of $3.71  million for Q3 2012 as compared to a non-cash gain of $0.70 million for Q3 2011.  The charge in Q3 2012 relates primarily to the fair market value adjustment of  the debenture and warrants associated with a private placement financing completed  in June 2011, and the non-cash gain in Q3 2011 relates primarily to foreign  exchange.   As a result, for the third  quarter of 2012, Redline realized a net Loss of $5.16 million, or ($0.55) per  share fully diluted, compared to net Income of  $1.80 million, or $0.20 per share fully  diluted, in the same period last year.</p>
<p>As of September 30, 2012 the Company had $0.75  million of cash as compared to $4.65 million as at December 31, 2011.</p>
<p>Subsequent to the end of Q3  2012, the Company delivered on its commitment to leverage its working capital, closing  a Cdn. $10.0 million line of credit with HSBC. They  also received exercise notices from several warrant holders indicating that a  number of warrants associated with the Debenture financing of June 2011 would  be exercised. The Company has also received preliminary indications that other  non-insiders may be exercising their warrants shortly, and has been informed  that certain insiders would be exercising some of their warrants once the  Company’s blackout period has been lifted. Assuming that all these warrants are  exercised, a total of 3,755,705 warrants of the 4,497,281 total outstanding  warrants would be exercised for a total aggregate consideration of  approximately Cdn. $13.67 million.</p>

The aggregate consideration to be received by the Company in connection with the exercise of these warrants is approximately of $3.68 million, of which $1.3 million has been received. <p>Redline has also received preliminary indications that other non-insiders might be exercising their warrants shortly.   In addition, Redline has been informed that certain insiders would be exercising some of their warrants once the Company’s blackout period has been lifted.  Assuming that all these additional warrants are exercised an additional 2,874,184 common shares would be issued for an additional aggregate consideration of approximately $9.99 million.</p>
<p>These warrants represent some of the “first warrants” and “second warrants” issued as part of the Company’s private placement announced in April 2011.  The warrants have previously been reported in the Company’s financial statements and management discussion and analysis and as a result, the total potential diluted common shares outstanding have not changed as a result of this warrant exercise.  The exercise price was $2.30 per share in the case of the first warrants and $4.60 per share in the case of the second warrants.</p>

(TSX: RDL), a leading provider of broadband wireless solutions for machine-to-machine (M2M) communications, today announced that they have finalized a $10 million credit facility with HSBC Bank Canada (“HSBC”) and have amended their loan agreement maturing in 2019 with the Ontario Ministry of Economic Development and Innovation (“MEDI”).   These new banking arrangements will provide short and longer term funding to the Company to allow for continued growth by leveraging working capital without diluting Company shareholders.</p>
<p>“Our new relationship with HSBC allows us to pursue our growth strategies,” said Eric Melka, Redline’s chief executive officer.  “This flexibilty is particularly important in the fast-growing energy market where our successes have been with multi-million dollar projects where increased flexibility in working capital is required. We are delighted to be working with HSBC, the right choice for Redline because of the good fit with our global business.”</p>
<p>Under the new banking arrangements, HSBC will provide a $10 million revolving demand credit facility at prime plus 1.5 percent. The availability under the revolving facility is subject to certain borrowing base calculations based on accounts receivable. The maximum draw on the revolver, currently $7M, will expand to $10M when fiscal year reporting supports performance expectations.   HSBC will also provide treasury management solutions for Redline.</p>
<p>The Company’s pre-existing arrangement with MEDI has been amended to give HSBC a first ranking on accounts receivable and forgive certain interest charges in exchange for a $750 thousand principle repayment by the Company at closing and a $500 thousand principle repayment in July 2014.  Interest on the MEDI loan is at 4.15 percent.</p>
<p>“Our partnership with MEDI is strong and we very much appreciate their guidance, assistance and commitment to technology,” added Melka. “Their program and team have allowed us to accelerate our product development activities through what was a pivotal turnaround period for the Company and we thank them for their continued support.”</p>

<p><b>Financial Highlights for the three months ended June 30, 2012</b></p>
<ul>
<li>Strong demand for the core Broadband Wireless Infrastructure (“BWI”) product line helped the Company secure record Bookings totaling $12.1 million in the quarter. These Bookings were driven primarily from sales to the energy sector, including several large oil and gas projects in North America and the Middle East. </li>
<li>The Company’s flagship BWI product line accounted for 78% of new product orders in the quarter as the Company continued to de-emphasize its WiMAX™ business.</li>
<li>The Company finished the quarter with a Backlog of orders totalling $7.75 million, an increase of 25% over the Backlog at March 31, 2012.</li>
<li>Gross margin in the first quarter improved to 57% from 52% reported in the first quarter of 2012.</li>
<li>The Company continues to deliver on its plan to reduce operating expenses, reporting a reduction of 5.1% to $6.35 million in the quarter as compared to the same period in 2011. </li>
<li>Adjusted EBITDA, was $3.91 million, an increase of 168% from adjusted EBITDA of $1.46 million for the same period in 2011. </li>

<p><b> </b></p>
<p><b>Operating Highlights for the three months ended June 30, 2012</b></p>
<ul>
<li>Redline received and shipped a $2-million order for its rugged industrial wireless system to a major oil and gas company, providing high-capacity, high-availability communications between the company’s US-based drilling rigs and centralized control offices. </li>
<li>Redline announced that their rugged industrial wireless products were chosen to create a wireless infrastructure for a major oil field operated by the Abu Dhabi Company for Onshore Oil Operations (ADCO) in the United Arab Emirates. Redline’s systems integrator Alcatel-Lucent (ALU) will deliver the complete and integrated digital oil field system.</li>
<li>Redline advanced in the Cisco Developer Network as a solution developer within the wireless and mobility technology categories and Redline’s <a href="http://www.redlinemilitary.com/en/products/rdl-3000-radio-platform" target="blank">RDL-3000</a> system has successfully completed interoperability testing with Cisco Access Points.</li>
<li>The Company announced the availability of Enterprise, a new compact carrier-grade wireless networking solution with the fastest bi-directional wireless broadband capacity in the industry. </li>
<li>Subsequent to the end of the quarter, Redline completed a 1:4 share consolidation effective July 13, 2012. </li>
</ul>
<p><b>Financial Details</b></p>
<p>Strong demand for Redline’s core Broadband Wireless Infrastructure (“BWI”) product line helped the Company secure Bookings totaling $12.1 million for a second quarter in a row. These Bookings were driven primarily from sales to the energy sector, including several large oil and gas projects in the both the Middle East and North America. The Company’s flagship BWI product line accounted for 78% of new product Bookings in the quarter as the Company continued to de-emphasize its lower margin legacy RedMAX™ WiMAX business. The Company finished the quarter with a Backlog of orders totaling $7.8 million, up 25% from $6.2 million recorded at the end of the first quarter 2012.</p>
<p>“I am very pleased with this solid quarter. We had strong Bookings once again, and our Backlog has grown to nearly $8 million.” said Eric Melka, President and CEO of Redline Communications. “We’ve been winning larger deals with new and existing oil &amp; gas customers. These typically have longer roll-out periods, so our Backlog has increased along with our Revenues. This increase in Backlog also provides better visibility into future Revenue.”</p>
<p>Shipments for the second quarter were $10.1 million, up 16% over the $8.7 million reported in the first quarter 2012. BWI product accounted for 87% of total product shipments compared with 77% for the first quarter 2012. The portion of BWI product shipped to customers within the Energy sector increased to approximately 50% from approximately 40% for the first quarter of 2012.</p>
<p>Total revenue for the second quarter 2012 was $17.4 million, an increase of 37% from $12.7 million in the same period in 2011. Revenue from BWI product and services was $7.8 million, an increase of 25% from $6.3 million in the same period in 2011. Revenue from RedMAX product and services was $9.6 million of which $1.3 million was new RedMAX revenue and the balance was Amortized Deferred revenue¹. The second quarter of 2012 is the final amortization period for RedMAX deferred revenue. The amortized amounts will remain in prior reported revenues for comparative purposes however there will be no such ongoing amortization as the revenue has now been fully amortized. Further detail can be found in the Company’s MD&amp;A filed with SEDAR.</p>
<p>Overall Gross Margins on Revenue were 56.8% for the second quarter 2012, up 4.9 points from the first quarter of 2012, and down 2.8 points from the same period last year as a result of expected fluctuations in revenue mix. Gross margins on core BWI product revenue remained very strong at 67% for the second quarter 2012.</p>
<p>Operating expenses for the second quarter of 2012 were $6.4 million, down 5% from $6.7 million reported in the second quarter of 2011. Reductions in legal and accounting expenses related to the now-settled class action lawsuit and the completion of the Company’s conversion to IFRS accounted for the majority of the savings.</p>
<p>Higher revenues and lower operating costs have resulted in increases in adjusted EBITDA¹, for both the three and six months ended June 30, 2012. Adjusted EBITDA for second quarter 2012 was $3.9 million, a 168% increase over adjusted EBITDA of $1.5 million for the same period in 2011.</p>
<p>Redline reported a non-cash gain of $4.0 million for the second quarter, related to the June 30, 2012 fair market valuation of the debenture and warrants associated with the private placement completed in June 2011. This compares to a non-cash charge of $0.6 million in the second quarter 2011, also related to the fair market value calculation of the debenture.  Redline realized a Net Profit of $7.8 million for the second quarter of 2012, compared to $0.06 million in the same period last year.</p>
<p>“We continue to focus on cost management, positive earnings and cash generation.” said Melka.  “Our costs continue to decrease, we reported an EBITDA of 22% of revenue, and we generated cash from earnings which has been used for working capital to accommodate our growing revenues. We are currently exploring with our financial partners how to best leverage this working capital.”</p>
<p>At June 30, 2012, Redline held cash and short-term investments of approximately $2.3 million compared to $4.7 million at December 31, 2011.</p>

(“Redline” or the “Company”) today announced the receipt of a Certificate of Amendment effecting completion of the share consolidation of its issued and outstanding common shares effective July 13, 2012 on the basis of one (1) post-consolidation share for every four (4) pre-consolidation common shares.</p>
<p>The Company’s shareholders approved the share consolidation at the Company's annual and special meeting of shareholders held on June 28, 2012.  All materials necessary to effect the share consolidation have been filed with the TSX.</p>
<p>Letters of transmittal describing the details of the share consolidation and the process by which shareholders obtain actual share certificates representing the consolidated common shares will be mailed out to registered shareholders of the Company later today. Registered shareholders may also obtain copies of the letter of transmittal by contacting their brokers or other intermediary or the Company's transfer agent, Computershare Investor Services Inc.</p>
<p>Shareholders who hold their shares through their broker or other intermediary and do not have actual share certificates registered in their name will not be required to complete and return a letter of transmittal. Any pre-consolidation common shares owned by such shareholders will automatically be adjusted as a result of the share consolidation to reflect the applicable number of post-consolidation common shares owned by them and no further action is required to be taken by such shareholders. If as a result of the consolidation a shareholder becomes entitled to a fractional share, such fractions will be rounded down to the nearest whole common share.</p>

<p><strong>Toronto,  May 15, 2012</strong> – Redline Communications Group Inc. (TSX: RDL) (“Redline” or the “Company”), a leading provider of ruggedized wireless infrastructure systems, today reported first quarter financial results for the three months ended March 31, 2012.</p>

<p><strong>Operating Highlights</strong></p>
<ul>
<li>The Company received a contract to expand a wireless video surveillance network in the City of Cancún, México. Redline outdoor broadband wireless equipment provides machine-to-machine connectivity between cameras located throughout the city and the central automated monitoring center.</li>
<li>The Company announced that, after demonstrating successful operation in a rigorous competitive trial, Redline products were selected by GCI Industrial Telecom ("GCI") for an arctic deployment on Alaska's North Slope. The Company successfully demonstrated that its rugged networking infrastructure equipment operates flawlessly in temperatures as low as -40 degrees Fahrenheit. </li>
<li>The Company received and shipped a large BWI product order to complete a major expansion of its network with Shell Oil in a larger second phase of a major wireless project for Shell Oil joint venture Petroleum Development Oman LLC (PDO). This expansion follows the successful deployment of a wireless infrastructure network supporting over 2,000 of 5,000 oil wells on the PDO field. The PDO oil field covers 28,000 square miles of desert, requiring Redline’s rugged, resilient and reliable equipment.</li>
</ul>
<p>To better assess the health and growth of the Redline’s business, the Company reports on several key metrics, including “Orders or Bookings”, “Shipped or Shipments” and “Backlog”. <p>Strong demand for the core Broadband Wireless Infrastructure (“BWI”) product line helped the Company secure Bookings totaling $12.1 million in the quarter. These Bookings were driven primarily from sales to the energy sector, including several large oil and gas projects in the Middle East and North America. The Company’s flagship BWI product line accounted for 81 percent of new product Bookings in the quarter as the Company continued to de-emphasize its lower margin legacy RedMAX™ WiMAX business.</p>
<p>The Company also recorded $2.2 million in new Booked Maintenance &amp; Support contracts, an important contributor to the Company’s goal of growing its recurring revenue. The Company finished the quarter with a Backlog of orders totaling $5.0 million.</p>
<p>Shipments in the quarter were $8.7 million. BWI product accounted for 77 percent of total product shipments, and Management estimates based on their knowledge of their Channel Partners’ business that over 40 percent of Shipments in the quarter went to customers in the Energy sector.</p>
<p>Total revenue for the first quarter of 2012 was $12.5 million, a decrease of 7.1 percent from $13.5 million in the first quarter of 2011. Included in total revenue for the reporting quarter was $4.7 million of amortized deferred revenue and current product revenue of $7.8 million, as compared to $4.7 million of amortized deferred revenue and $8.8 million of current product revenue in the first quarter of 2011. Lower current product revenue in the first quarter of 2012 was primarily a result of revenue recognition timing. Approximately $1.8 million of revenue projected for the first quarter of 2012 was shipped and recognized in the fourth quarter of 2011, and in the first quarter of 2012, $2.1 million of products were shipped in the first quarter but not recognized as they are pending final customer project acceptance.</p>
<p>Gross margin on shipments of the Company’s core BWI product line were 65 percent while RedMAX gross margins were 48 percent. Gross Margins for Professional Service and Other revenues were 35 percent, in-line with the industry average. This high percentage of lower margin revenue contributed to a lower overall margin of 52 percent on total revenue, which was down from 62 percent in the first quarter of 2011. Management anticipates that, based on current Bookings and Backlog, gross margins will increase in 2012.</p>
<p>The Company successfully delivered on its plan to reduce operating expenses, reporting a reduction of 10.2 percent from the same period last year to $6.1 million. The decrease reflects Management’s commitment to cost containment and improved operating efficiencies including the implementation of new information technology for its accounting and CRM systems.</p>
<p>First quarter 2012 adjusted EBITDA¹, was $0.7 million, a decrease from adjusted EBITDA of $2.0 million for the first quarter of 2011. The decrease was a direct result of less recognizable revenue in the quarter, as well as the reduced overall gross margin due to revenue mix.</p>
<p>“I am excited about our business and the strength of our Bookings in Q1 2012. Our high margin BWI product represented over 80 percent of total product Bookings thanks to the ongoing execution of our plan to deliver machine-to-machine solutions to the Energy sector,” said Eric Melka, Redline’s CEO. ”Looking forward, with our strong product margins, a continued shift in product mix to higher BWI product contribution, and our ongoing tight control of operating expenses, we expect cash flow and EBITDA to improve throughout 2012.”</p>
<p>In June 2011, the Company completed a private placement of Cdn. $8.3 million debentures. The debentures have multiple derivatives including: the remaining unconverted principal, interest payable in shares, and warrants all of which were “in-the-money” on March 31<sup>st</sup>, 2011. The fair market value (“FMV”) of the debenture including its multiple derivatives was significantly higher at the end of the first quarter largely due to the Company’s share price increasing from Cdn. $0.65 at December 31, 2011 to Cdn. $1.20 at March 31, 2012. This increase in FMV triggered a non-cash expense against earnings of $6.61 million.</p>
<p>At March 31, 2012, Redline held cash and short-term investments of approximately $3.4 million compared to $4.7 million for the same period last year. $12.3 million of total deferred revenue remained on the balance sheet at March 31<sup>st</sup> 2012, a decrease from $16.5 million at December 31, 2011.</p>

<p>After two years of significant  restructuring, the Company reports that it has substantially completed a corporate  turnaround.</p>
<p><strong>Highlights  for the full fiscal year: </strong></p>

<p>Throughout 2011, Redline increased  emphasis on its higher margin, higher growth broadband wireless infrastructure  (BWI) product line and continued to de-emphasize its lower margin RedMAX™ WiMAX  business. Redline’s ruggedized BWI products are sold for industrial use in  select vertical markets and currently generate over 80% of Redline’s current sales,  versus approximately 55% of current sales at the end of 2010.</p>
<p>Total revenue for the fourth quarter of  2011 was $18.2 million, a 16% increase from the same period in 2010. Included  in total revenue for the reporting quarter was $4.7 million of Amortized  Deferred Revenue (revenue from RedMAX™ sales deferred from prior periods dating  from 2006 to the end of the third quarter of 2009), consistent with 2010. In  addition, some product orders expected in the first quarter of 2012 were  shipped and recognized at the end of the fourth quarter of 2011.  Excluding amortized deferred revenue, core BWI  product revenue increased 84.5% over the fourth quarter of 2010.</p>
<p>For the 2011 full year, total revenue was $58  million, an increase of 7% over 2010. Included in total revenue in 2011 was $18.7  million of amortized deferred revenue from prior RedMAX™ sales. A remaining  balance of approximately $9 million in amortized deferred revenue from prior  RedMAX™ sales will be recognized during the first half of 2012.  Excluding amortized deferred revenue, in 2011  core BWI product revenue increased 33.8% over 2010. The growth in core product  revenue was primarily driven by sales in the energy sector, and in sales across  all verticals in the Middle East and Mexico.  <br /> <br /> Full year gross margins increased 2.7  percentage points to 58.2%, as compared to 55.5% for 2010, supported by an  increased overall contribution of higher margin BWI products. Gross margin for  the fourth quarter was 52.3% compared to 53.4% for the fourth quarter of 2010,  moderately lower due to revenue mix for the reporting quarter.</p>
<p>2011 fourth quarter operating expenses were  $7.1 million, a decrease of 5% from $7.5 million for the same period in 2010.  The decrease reflects Management’s commitment to cost containment and improved  operating efficiencies. Total operating expenses for the year were  $27.8 million, essentially unchanged from $27.6 million in 2010.</p>
<p>“Our 2011 results have begun to illustrate  the scalability of our business model as our sales grow faster than our  expenses,” explained Mr. Melka. “In 2011 more than 90% of sales were completed  through our channel partners which include value-added resellers, value-added  distributors, and increasingly, large systems integrators. For many of our  systems integrators, our rugged, high-bandwidth wireless technology has become  the critical communications enabler for long-distance M2M communication.”</p>
<p>Fourth quarter adjusted EBITDA¹, was $2.9  million, an increase of 174%, compared to adjusted EBITDA of $1.1 million for  the fourth quarter of 2010.  For the year  ended December 31, 2011, adjusted EBITDA was $7.8 million, a 131% increase from  adjusted EBITDA of $3.4 million in 2010.</p>
<p>Fourth quarter net Profit increased 120%  to $1.1 million, or $0.05 per share, as compared to net Profit of $0.5 million,  or $0.03 per share for the fourth quarter of 2010.  Net Profit in the reporting quarter included  a non-cash $0.7 million charge for a mark-to-market adjustment for the  Company’s debentures resulting from the increase in the share price.  As the share price has continued to increase,  a charge may also be taken in the first quarter of 2012.</p>
<p>For the full year, Redline Communications  reported net Profit of $4.1 million, or $0.19 per basic share, compared to net Profit  of $1.9 million, or $0.09 per basic share, in 2010.</p>
<p>At December 31, 2011, Redline held cash  and short-term investments of approximately $4.8 million, and working capital  of $0.8 million, a substantial improvement from negative working capital of  $8.7 million at December 31, 2010. $16.5 million of total deferred revenue  remained on the balance sheet at the end of 2011, a decrease from $37.1 million  one year prior.</p>
<p><strong>2011 operating  highlights included:</strong></p>
<ul>
<li>Expanded Redline's wireless Virtual Fiber product line with the launch  of the RDL-3000 – the world’s longest range, highest capacity Point-to-Multipoint  radio. </li>
<li>Announced the RDL-5000, a high-capacity, high-power, packet microwave  radio platform for telecom backhaul and large enterprise connectivity,  delivering throughput of up to 800 megabits per second; high-power,  high-sensitivity and low latency. </li>
<li>Opened a branch office/warehouse in Dubai and signed a strategic  partnership agreement with Waseela, a leading systems integrator, to expand presence and better  serve customers in the Middle East. </li>
<li>Expanded into new  geographies by partnering with PromonLogicalis for South America, and with  Plessey for greater coverage of the African market. </li>
<li>Deployed two new major digital oil field projects in the Middle East  and North America. In addition, Redline technology now successfully enables a  45,000 Km2 coverage area for Petroleum Development (PDO) of Oman’s wireless digital  oil field.</li>
<li>Increased customer sales in the Middle East include revenue from telecom  service providers Saudi Telecom Company (STC), Zain, Etisalat, Orascom and du –  for backhaul and business access applications.</li>
<li>Continued to expand the number of municipalities in Mexico who are  using Redline products to provide wide-area connectivity and video surveillance  coverage for public safety.</li>
</ul>
<p>Redline also announces today that all  conditions precedent have been met to the effectiveness of the settlement of  the proposed class action lawsuit commenced in Ontario in September of 2010  against the Company, certain of its current and former directors and officers,  and its former auditors. The settlement received court approval in November  2011 and is now final and binding. The agreement provides for the settlement,  release and dismissal of all claims asserted against the Company, its former  auditors and the individual proposed defendants. As previously announced,  substantially all of the contribution to the settlement amount from Redline and  the individual proposed defendants was funded through insurance coverage, the  remaining nominal amount being funded by the Company. The settlement does not  constitute any admission of liability by Redline or its officers, directors and  employees.</p>
